Terms of Service
Last updated [effective date]
These terms are an agreement between you and [Company legal name] (“we”, “us”), which operates PaidFinch. By creating an account or using PaidFinch, you agree to them. If you use PaidFinch for a business, you agree on behalf of that business and confirm you can bind it.
1. What PaidFinch is
PaidFinch is software for creating and sending invoices, proposals, and statements, tracking time and retainers, and taking payments online through Stripe. We provide the software. We are not a bank, a payment processor, or a money transmitter, and we never hold your clients’ money.
2. Your account
- You must be at least 18 and able to form a binding contract, and you must give accurate information.
- You are responsible for everything done in your account and for keeping your password safe. Tell us right away at support@paidfinch.com if you think someone else has access.
- An account can hold one or more businesses. You are responsible for the businesses you add and the people you let use them.
3. Online payments and your Stripe account
- To take payments online, each business connects its own Stripe account. Payments are processed by Stripe under your agreements with Stripe, including the Stripe Services Agreement and, where applicable, the Stripe Connected Account Agreement. Stripe, not PaidFinch, decides whether to approve, hold, or pay out funds.
- You are the seller in every transaction with your clients. You are responsible for the goods and services you invoice for, for refunds, for responding to disputes and chargebacks, and for any losses, fees, or penalties that result from them, including those Stripe charges you.
- You are responsible for your own taxes, including sales tax on what you sell and income tax on what you earn.
- If you disconnect your Stripe account, or Stripe restricts it, online payments stop for that business. Invoices and records stay in PaidFinch.
4. Fees
- Invoicing is free. When a client pays you online through PaidFinch, we charge a platform fee, a percentage of the payment shown on our pricing page and in your account. Stripe collects it from that payment and sends it to us. Stripe’s own processing fees are separate and set by Stripe.
- There is no platform fee on payments you record yourself, such as checks, cash, bank transfers, or other payments made outside PaidFinch.
- When you refund an online payment, the platform fee is returned in proportion to the amount refunded.
- We may change our fees with at least 30 days’ notice by email and in your account. Changes apply to payments made after they take effect.
5. The Pro plan
- Pro is a monthly subscription billed through Stripe in advance. It renews each month until you cancel, which you can do at any time from Billing; Pro then stays on until the end of the period you paid for. We do not refund partial months.
- New accounts may get a free trial of Pro. It needs no card and ends on its own; nothing is charged unless you upgrade.
- If Pro ends, we do not delete your data. Pro features pause, as described on the pricing page, until you upgrade again.
6. Your clients and their information
- You decide what information about your clients goes into PaidFinch, and you are responsible for having the right to use it and to email your clients through PaidFinch.
- We process your clients’ information to provide the service to you, as described in our Privacy Policy.
- If you save a client’s card for automatic charges, you must have their permission, charge only what they authorized, and stop when they withdraw it. PaidFinch records the permission the client gives on the card page; you are responsible for using it properly.
- Proposals accepted online record the name the client typed and when. Whether that acceptance creates a binding contract between you and your client is between you and them.
7. Acceptable use
You must follow our Acceptable Use Policy and Stripe’s rules on restricted businesses. We may suspend or close accounts that do not.
8. Your data, export, and deletion
- You own the data you put into PaidFinch. You give us permission to store and process it only to provide and improve the service.
- You can export your data at any time from Settings.
- If you close your account, we delete your data within a reasonable time, except records we must keep by law or for tax, accounting, fraud prevention, or dispute purposes, and copies in backups that are overwritten on their normal schedule.
9. Availability and changes
We work to keep PaidFinch available and your data safe, but we do not promise it will be uninterrupted or free of errors. We may change or stop features. If we stop offering PaidFinch altogether, we will give you at least 30 days’ notice to export your data.
10. Suspension and termination
You can stop using PaidFinch at any time. We may suspend or close your account if you break these terms, if your use creates risk or harm for others, or if the law requires it. Where we can, we will tell you first and give you a chance to fix the problem and to export your data.
11. Our property
PaidFinch, its software, and its brand belong to us. You may not copy, resell, or reverse engineer the service. If you send us suggestions, we may use them without owing you anything.
12. Disclaimers
PaidFinch is provided “as is” and “as available.” To the extent the law allows, we disclaim all warranties, including merchantability, fitness for a particular purpose, and non-infringement. PaidFinch is not tax, legal, or accounting advice; calculations such as taxes and late fees follow the settings you choose, and you are responsible for checking them.
13. Limitation of liability
To the extent the law allows, we are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data. Our total liability for any claim relating to PaidFinch is limited to the greater of the fees you paid us in the 12 months before the claim or $100. We are not responsible for the acts of Stripe, your clients, or other third parties.
14. Indemnity
You will defend and indemnify us against claims arising from your business, your dealings with your clients, your content, or your breach of these terms or the law.
15. Changes to these terms
We may update these terms. For material changes we will give at least 30 days’ notice by email or in your account. Using PaidFinch after changes take effect means you accept them.
16. Governing law
These terms are governed by the laws of the State of [State], without regard to its conflict of law rules. Disputes will be resolved in the state or federal courts located in [State], unless the law requires otherwise.
